1.2 This agreement is between you and baasi, Inc. (Baasi) and its affiliates and governs your access to and use of our service. You may enter into this agreement on behalf of yourself or on behalf of a legal entity. If you enter into this agreement on behalf of a legal entity, you represent that you are a duly authorized representative with the authority to bind that legal entity to this agreement. Specific terms in this agreement will have definitions as outlined in the applicable section, where they are defined in Section 2 below.
1.3 We may provide the services through Baasi, our affiliate(s), or both. You may only use the services in accordance with the terms and subject to the conditions of this agreement.
1.4 Read this agreement carefully, as it provides, among other things:
1.4.1 Section 18- You will resolve the dispute informally by contacting the company instead of going to court and you will not bring class-action claims against Baasi;
1.4.2 Section 21- Baasi reserves the right, at our sole discretion, to modify or replace these terms at any time.
1.4.3 Section 10 - You may not transmit any unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene, or otherwise objectionable content.
1.5 You acknowledge that you will only create an account or otherwise use the services if you agree to be legally bound by all terms and conditions. Accepting this agreement creates a legally binding contract between you and Baasi.
II. Interpretation and Definitions2.1 Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in the singular or the plural.
2.2 Definitions
For the purposes of these Terms of Service:
2.2.1 “Affiliate” means an entity that controls, is controlled by, or is under common control with a party, whereas "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
2.2.2 “Account” means an individual account created for You to access our Services or parts of our Services.
2.2.3 “Company” (referred to as either "the Company," "We," "Us", or "Our" in this Agreement) refers to baasi, Inc.
2.2.4 “Country” refers to the United States.
2.2.5 “Device” means any online technology that can access the Services, such as a computer, a cell phone, or a digital tablet.
2.2.6 “Feedback” means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Services.
2.2.7 “Services” refers to our services accessed via the Website or Baasi applications, in which users can review the Website content, use Baasi API and documentation to develop custom applications and create an account via the Website or Baasi applications to enjoy various valuable features of Baasi, such as Video calls, Chat, Screen Sharing, Whiteboard, Whispering, Recording, VideoTheka, Multi-meeting room management, etc.
2.2.8 “Terms of Service” (also referred to as "Terms") mean these Terms of Service that form the entire agreement between You and the Company regarding the use of the Services.
2.2.9 “Third-party Social Media Service” means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Services.
2.2.10 “Website” refers to baasi.com, accessible from
https://baasi.com/.2.2.11 “You” means the individual accessing or using the Services, the company, or other legal entity on behalf of which such individual is accessing or using the Services, as applicable.
III. Acknowledgment3.1 These are the Terms of Service governing the use of the Services and the agreement between You and the Company. These Terms of Service set out the rights and obligations of all users regarding the use of the Services.
3.2 Your access to and use of the Services is conditioned on Your acceptance of and compliance with these Terms of Service. These Terms of Service apply to all visitors, users, and others who access or use the Services.
3.3 By accessing or using the Services, You agree to be bound by these Terms of Service. If You disagree with any part of these Terms of Service, you may not access the Services.
3.4 You represent that you are over 16, and the Company does not permit those under 16 to use the Services.
IV. Age requirements4.1 If You are under the age of 16, You must have Your parent or legal guardian’s permission to use a Baasi Account. Please have Your parent or legal guardian read these Terms with You.
4.2 If You’re reading these Terms as a parent or legal guardian and allow Your child to use the Services, then these Terms apply to You and You’re responsible for Your child’s activity on the Services.
V. User Accounts5.1 When You create an Account with Us, You must provide Us with information that is accurate, complete, and current at all times so that We’ll be able to provide You with appropriate Services. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Services.
5.2 You are responsible for safeguarding the password You use to access the Services and for any activities or actions under Your password, whether Your password is with Our Services or a Third-Party Social Media Service.
5.3 You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any security breach or unauthorized use of Your Account.
5.4 You may not use as a username the name of another person or entity, or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
VI. Using Services on behalf of an organization or business6.1 Many organizations, such as businesses, non-profits, medical facilities, and schools, use Our Services for online communication.
6.2 To use our Services on behalf of an organization:
6.2.1 An authorized representative of that organization must agree to these Terms;
6.2.2 Your organization’s administrator may assign a Baasi Account to You. That administrator might require You to follow additional rules and may be able to access or disable your Baasi Account.
VII. RecordingsYou are responsible for compliance with all laws governing the monitoring or recording of conversations as the Baasi user. The participant can choose to record, for example, meetings and webinars. By using the Services (Baasi recording or Baasi VideoTheka), you are able to authorize Baasi to store recordings. You will receive a notification (visual or otherwise) when recording is enabled. If You do not consent to be recorded, You can choose to leave the recorded session. Otherwise, the behavior (staying at the meeting, webinar, etc.) will be considered the agreement to be recorded by other participants.
VIII. Payments and Charges8.1 Charges
You agree that Baasi may charge your credit card, debit card, or other payment mechanism selected by You and approved by Baasi (“Payment Method”) for all amounts due and owing in connection with Your use of the Services. This might include set-up fees, one-time fees, non-recurring fees, overages, per-use charges, subscription fees, recurring fees, and any other charges associated with the Services or your Account (“Charges”).
8.2 Non-Cancelable and Non-Refundable Charges
You agree that all payments are non-cancelable for the Initial Subscription Term or the then-current Renewal Term, as applicable, and are final and non-refundable unless otherwise agreed to by Baasi, required by Law, or outlined in Your Order Form
8.3 Changes to Pricing
Baasi may change prices for the Services at any time, at its sole discretion. For changes to Your Charges, Baasi will provide You with at least thirty (30) calendar days prior notice. Keep in mind that the pricing changes will not affect the subscriptions and the Services which you have paid for in advance. If You disagree with the updated pricing, You shall not continue using Our Services or contact our sales team (
[email protected]) for further information about overall pricing and discounts.
IX. Prohibited Conduct9.1 In founding Baasi, our primary objective was to establish a secure and inclusive environment where unlawful actions such as violence or discrimination have no place. This section outlines conduct that is strictly prohibited on our platform.
9.2 You may not promote violence against, threaten or harass other people based on race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease. We reserve the right to add another category. You may not use Your username, display name, or profile information to abuse or threaten anyone, and accounts that do so will be permanently suspended.
9.3 Baasi reserves the right to limit your use of the Services, including disallowing You to join the Baasi meetings, webinars, and other services. We reserve the right to restrict, ban, suspend, or terminate Your Account if you breach this contract or the law or misuse the Services.
9.4 You agree to use Baasi Services for purposes that are acceptable by the law. These purposes can include:
9.4.1 Educational purposes- teach and learn using the Baasi app and develop an educational platform using Baasi API.
9.4.2 Medical assistance- provide customers with medical support using Baasi app and Baasi API.
9.4.3 Consulting- provide customers with consulting services using the Baasi app or Baasi API.
9.4.4 Online communication with others-use Baasi to converse with your family, friends, coworkers, and many others despite the distance between you.
9.4.5 And many other purposes which do not cause the breach of any laws of the USA.
9.5 Violence
There is no place for violence on Baasi. It’s prohibited to use Our services in order to display any kind of violence or to promote violence by encouraging others to perform unlawful actions. Baasi is strictly against terrorism or violent extremism. Any Account reported to have breached this agreement will be permanently banned.
9.7 Discrimination
Everyone is equal and has the same right to feel free and safe. Baasi restricts any kind of discrimination based on race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease. Accounts that do so will be permanently suspended. This policy also includes harassment which is also strictly prohibited. One of the common types of sexual harassment is online sexual harassment. Any Account reported using our Services to harass others sexually will be banned from Baasi.
9.8 Sensitive content
Sensitive content is prohibited on Baasi. Displaying any kind of activities like pornography, self-harm, suicide, or other conduct which might harm other people’s mentality, morality, or feelings is strictly banned. Any Account reported as displaying sensitive content will face suspension from Baasi.
9.9 Illegal activities
You may not use Baasi Services to promote, trade, or engage in the following:
- Drugs and controlled substances;
- Human smuggling or trafficking;
- Products made from endangered or protected species;
- Sexual services;
- Gambling, betting, or wagering activities;
- Unauthorized multi-level marketing businesses;
- Stolen goods;
- Fake business.
X. Content10.1 Your Right to Post Content
Our Services (Baasi chat, Baasi webinar, and Baasi Livestream) allow You to upload or provide content (photos, videos, links, and files). You are responsible for the content you post to the Services, including its legality, reliability, and appropriateness. You retain all of Your rights to any content You submit, post, or display on or through the Services, and You are responsible for protecting those rights.
10.2 You represent and warrant that:
- The content is Yours (You own it), or You have the right to use it.
- The posting of Your Content on or through the Services does not violate any person's privacy rights, publicity rights, copyrights, contract rights, or any other rights.
10.3 Content Restrictions
10.3.1 The Company is not responsible for the content of the ServiceS’ users. You expressly understand and agree that You are solely responsible for the content and all activity under your Account, whether by You or any third person using Your account.
10.3.2 You may not transmit any unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene, or otherwise objectionable content.
10.3.3 Examples of such objectionable content include, but are not limited to, the following:
- Unlawful or promoting unlawful activity;
- Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups;
- Spam, machine – or randomly–generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;
- Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person;
- Infringing on any party's proprietary rights, including patent, trademark, trade secret, copyright, right of publicity, or other rights;
- Impersonating any person or entity, including the Company and its employees or representatives;
- Violating the privacy of any third person;
- False information and features.
10.3.4 The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any content is appropriate and complies with these Terms, refuse or remove this content. The Company further reserves the right to make formatting and edits and change the manner of any content. The Company can also limit or revoke the use of the Service if You post such objectionable content. As the Company cannot control all content posted by users and/or third parties on the Services, You agree to use the Services at Your own risk. You understand that by using the Services, You may be exposed to content that You may find offensive, indecent, incorrect, or objectionable. You agree that under no circumstances will the Company be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of Your use of any content.
10.4 Content Backups
Although regular content backups are performed, the Company does not guarantee there will be no loss or corruption of data. Corrupt or invalid backup points may be caused by, without limitation, corrupted content prior to being backed up or changes during the time a backup is performed. The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the content backups. But You acknowledge that the Company has no liability related to the integrity of content or the failure to successfully restore content to a usable state. You agree to maintain a complete and accurate copy of any content in a location independent of the Services.
XI. Copyright Policy11.1 We respect the intellectual property rights of others. It is Our policy to respond to any claim that content posted on the Services infringes a copyright or other intellectual property infringement of any person.
11.2 If You are a copyright owner or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Services, You must submit Your notice in writing to the attention of our copyright agent via email (
[email protected]) and include in Your notice a detailed description of the alleged infringement.
11.3 You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any content infringes Your copyright.
XII. Intellectual Property2.1 The Services and Baasi’s original content (excluding content provided by You or other users), features, and functionality are and will remain the exclusive property of the Company and its licensors.
12.2 The Services are protected by copyright, trademark, and other laws of both the Country and foreign countries.
12.3 Our trademarks and trade dress may not be used in connection with any product or service without the Company's prior written consent.
XIII. Your Feedback to UsYou assign all rights, titles, and interests in any Feedback You provide the Company. In case such an assignment is ineffective for any reason, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback without restriction
XIV. Termination14.1 We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms of Service.
14.2 Upon termination, Your right to use the Services will cease immediately. If You wish to terminate Your Account, You may discontinue using the Services.
XV. Liabilities15.1 For all Baasi users
15.1.1 Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms, and Your exclusive remedy for all of the foregoing shall be limited to the amount paid by You through the Services or 100 USD if You haven't purchased anything through the Services.
15.1.2 To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Services, third-party software and/or third-party hardware used with the Services or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails in its essential purpose.
15.1.3 Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. Each party's liability will be limited to the greatest extent permitted by law in these states.
15.2 Only for the businesses and organizations using Baasi
15.2.1 If You’re a business user or organization to the extent allowed by applicable law, You’ll indemnify Baasi and its directors, officers, employees, and contractors for any third-party legal proceedings (including actions by government authorities) arising out of or relating to your unlawful use of the Services or violation of these Terms. This indemnity covers any liability or expense arising from claims, losses, damages, judgments, fines, litigation costs, and legal fees;
15.2.2 If You’re legally exempt from certain responsibilities, including indemnification, then those responsibilities don’t apply to You under these Terms.
15.2.3 Baasi won’t be responsible for the following liabilities:
- Loss of profits, revenues, business opportunities, goodwill, or anticipated savings;
- Indirect or consequential loss;
- Punitive damages.
XVI. "AS IS" and "AS AVAILABLE" Disclaimer 16.1 The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its behalf and behalf of its Affiliates and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, concerning the Services, including all implied warranties of merchantability, fitness for a particular purpose, title and non- infringement, and warranties that may arise out of a course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking. It makes no representation of any kind that the Services will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free or that any errors or defects can or will be corrected.
16.2 Without limiting the foregoing, neither the Company nor any of the Company's providers make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Services, or the information, content, and materials or products included thereon; (ii) that the Services will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Services; or (iv) that the Services, its servers, the content, or e- mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components. Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case, the exclusions and regulations outlined in this section shall be applied to the greatest extent enforceable under applicable law.
XVII. Governing LawThe laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Services. Your use of the Services may also be subject to other local, state, national, or international laws.

19.1.1 You are not located in a country that is subject to the United States government embargo or that has been designated by the United States government as a "terrorist supporting" country;
19.1.2 You are not listed on any United States government list of prohibited or restricted parties.
XX. Severability and Waiver20.1 Severability
In case any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
20.2 Waiver
Except as provided herein, the failure to exercise a right or to require the performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
XXI. Changes to These Terms of ServiceAt Our sole discretion, We reserve the right to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at Our sole discretion. We agree that changes cannot be retroactive. By continuing to access or use Our Services after those revisions become effective, You agree to be bound by the revised terms.
